Terms & Conditions

  • BACKGROUND
  1. The Owner is the owner of the Premises.
  2. Skyportz is in the business or potential business of procuring infrastructure (including installation of navigational or communications hardware) for prospective use by vertical/short take-off and landing aircraft and delivery drones(“Air-Taxi”).
  • FIRST RIGHT OF REFUSAL
    1. In consideration for possible future benefit including income, the Owner:
      1. grants to Skyportz an exclusive option ("Option") to enter into negotiations with the Owner for a lease or licence (whether on Skyportz own behalf or on behalf of a third party) to use the Premises for Air-Taxi/drone delivery use (collectively, "Lease"); and
      2. will not permit any third party to use the Premises for Air-Taxi use before first completing bona fide good faith negotiations with Skyportz for a lease or licence; and
      3. Skyportz may exercise the Option more than once.
  • COOPERATION AND access
    1. The Owner agrees that Skyportz may use this agreement to:
      1. promote Skyportz's business; and
      2. negotiate with the Air-Taxi industry and relevant authorities.
    2. The parties agree to work together collaboratively in good faith for the identification, promotion, tendering, implementation and provision of Air-Taxi Projects identified and agreed mutually by the Parties from time to time during the Option Term.
    3. The Parties will, on a case-by-case basis, determine if there is a need to enter into a separate agreement in respect of any specific Project.
  • ASSIGNMENT
    1. Skyportz may assign the benefit of any part of this agreement to a third party in Skyportz's discretion.
    2. The Owner must ensure that any future occupier or owner of the Premises enters into an identical agreement with Skyportz.
  • MISCELLANEOUS
    • A reference to a party is to a party to this document, and a reference to a party to a document includes the party’s executors, administrators, successors and permitted assigns and substitutes.
  • CONFIDENTIALITY
  • A party must  not disclose or permit the disclosure of the other party’s confidential information to any third party without the other party’s prior written consent unless required by law.
  • FURTHER ACTS
    • Each party must  at such party's own expense do or use reasonable endeavours to cause a third party to do all things that another party from time to time may reasonably request in order to give effect to, perfect or complete this document and all transactions incidental to it.
